The conditions governing your use of the MAKE ENT STUDIO website, services, and client platform. Accounts, intellectual property, payments, prohibited conduct, and liability.
01
These Terms of Service ("Terms") govern your access to and use of the website at https://makeent.studio, all subdomains, pages, the client platform, and any services provided by MAKE ENT STUDIO ("the Studio", "we", "us", "our").
By accessing or using our website or services, you agree to be bound by these Terms. If you do not agree, you must not use our website or services.
02
MAKE ENT STUDIO is a remote creative technology studio founded in 2019 that builds visual content, digital experiences, and creative systems for brands, creators, and businesses worldwide.
03
You must be at least the age of legal majority in your jurisdiction to use our services or enter into an agreement with the Studio. If you use our services on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.
04
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the website and platform in accordance with these Terms.
You agree not to:
05
Certain parts of the platform require an account. When you create an account, you agree to:
We may suspend or terminate accounts that violate these Terms, present a security risk, or are used for abuse.
06
Commissioned work — including video production, motion design, digital projects, brand content, and creative technology — is governed by a separate written agreement or proposal between you and the Studio. That agreement will define scope, deliverables, timelines, revisions, payment terms, and any project-specific conditions.
Where a signed agreement, statement of work, or written proposal conflicts with these general Terms, the specific agreement governs for that engagement.
07
You retain ownership of content you submit to us, including briefs, references, media, comments, and messages. By submitting content, you grant us a limited license to store, process, and use that content to respond to you, deliver services, and operate our business.
You represent and warrant that:
08
Unless otherwise agreed in writing, all content on this website — including text, graphics, logos, design, layout, code, and studio branding — is owned by MAKE ENT STUDIO and protected by applicable copyright and intellectual property laws.
You may not reproduce, distribute, modify, or republish our content without written permission, except for personal, non-commercial reference with appropriate attribution.
Intellectual property rights in deliverables produced for a client are governed by the relevant engagement agreement. Final deliverables and usage rights are typically transferred or licensed upon full payment, subject to the terms of that agreement.
09
Payment terms for commissioned work are defined in the relevant agreement or proposal. Digital products (such as presets, templates, and downloadable assets) are sold through the channels listed on the website.
Payments for digital products are processed by our payment providers. By purchasing, you agree to the terms and pricing shown at the point of purchase. Refunds are governed by our Refund Policy.
10
The website and platform integrate with third-party services (for example, hosting, analytics, email, authentication, payment processing, and social platforms). These are governed by their own terms and privacy policies.
We are not responsible for the practices of third-party services. You should review their terms before using features that rely on them.
11
We aim to keep the website and platform available and functioning, but we do not guarantee uninterrupted or error-free service. Access may be suspended for maintenance, updates, security reasons, or factors outside our control.
12
You agree not to use the website, platform, or services to:
13
We may suspend or terminate access to the website, platform, or services at any time, with or without notice, if we reasonably believe you have violated these Terms, present a security risk, or are engaged in abuse.
You may stop using the services at any time. Termination does not relieve you of obligations incurred before termination, including payment obligations.
14
The website and services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the website or platform will be uninterrupted, secure, or free of errors, or that any information available through them is accurate, complete, or current.
15
To the maximum extent permitted by applicable law, MAKE ENT STUDIO will not be liable for any indirect, incidental, consequential, special, or punitive damages, or for any loss of profits, data, revenue, or goodwill, arising out of or related to your use of the website, platform, or services.
Our total liability for any claim arising out of or related to these Terms or the services will not exceed the greater of (a) the amount you paid to us in the twelve months preceding the claim, or (b) one hundred US dollars (US$100).
16
These Terms are governed by the laws of the Republic of Kenya, without regard to its conflict of laws principles. Subject to the dispute-resolution section below, the courts of Kenya shall have jurisdiction over disputes arising out of or related to these Terms or the services.
17
Before pursuing formal proceedings, you and the Studio agree to attempt to resolve any dispute informally by contacting us at legal@makeent.studio. We will try to reach a resolution in good faith.
If a dispute cannot be resolved informally, it shall be subject to the exclusive jurisdiction of the courts of Kenya, unless otherwise required by applicable law.
18
We may update these Terms from time to time. When we make material changes, we will update the effective date at the top of this page. Your continued use of the website or services after any change constitutes acceptance of the updated Terms.
